These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and WizeLibrary regarding your use of our website, services, and platform (collectively, the "Service").

By accessing, browsing, or using WizeLibrary, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

3. User Responsibilities and Acceptable Use

By using WizeLibrary, you agree to:

  • Provide accurate, current, and complete information when creating your account
  • Maintain the security of your account credentials and accept responsibility for all activities under your account
  • Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
  • Not abuse, misuse, or attempt to circumvent our AI systems or security measures

4. Intellectual Property Rights

Our Rights: WizeLibrary retains all right, title, and interest in and to the Service, including but not limited to our brand name, logo, website design, software code, AI algorithms, proprietary methodologies, and all related intellectual property. These materials are protected by copyright, trademark, and other intellectual property laws.

Your Rights: You retain ownership of any personal content you submit to WizeLibrary, including your learning goals, preferences, and personal information. However, by using our Service, you grant us a limited, non-exclusive license to use this information to provide and improve our services.

AI-Generated Content: Learning paths and recommendations generated by our AI are provided for your personal, non-commercial use. You may export and use these recommendations for your own learning purposes but may not redistribute them commercially without our written consent.

Third-Party Content: Book titles, author names, and related information are the property of their respective owners. We do not claim ownership of such third-party intellectual property.

5. Payment Terms and Subscriptions

Billing: Paid subscriptions are processed through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your selected payment method for the applicable subscription fees.

Renewals: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You will be charged the then-current subscription rate unless you cancel your subscription.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to paid features until that time.

Refunds: We do not provide refunds for subscription fees except as required by applicable law. If you believe you are entitled to a refund under applicable law, please contact our support team.

Price Changes: We reserve the right to modify subscription pricing with thirty (30) days' notice to existing subscribers. Price changes will not affect your current billing period but will apply to subsequent renewals.

6. Account Termination

Termination by You: You may terminate your account at any time by contacting our support team or using the account deletion feature in your settings.

Termination by Us: We reserve the right to suspend or terminate your account immediately, without prior notice, for any of the following reasons:

  • Violation of these Terms of Service
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity
  • Breach of our security measures or attempts to harm our systems
  • Any conduct that we determine, in our sole discretion, is harmful to WizeLibrary or other users

Upon termination, your access to the Service will cease immediately, and we may delete your account data in accordance with our data retention policies. Termination does not relieve you of any obligations to pay outstanding fees.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WIZELIBRARY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER ECONOMIC ADVANTAGE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO WIZELIBRARY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You acknowledge that the limitations of liability set forth in this section are fundamental elements of the agreement between you and WizeLibrary, and that WizeLibrary would not provide the Service without these limitations.

8. Disclaimers

No Guarantee of Outcomes: WizeLibrary provides educational recommendations and learning paths, but we make no guarantees regarding learning outcomes, academic success, or professional advancement. Results may vary based on individual effort, circumstances, and other factors.

Educational Purpose Only: Our recommendations are for educational and informational purposes only and should not be considered professional advice. You should consult with qualified professionals for specific guidance related to your career, education, or other matters.

AI Limitations: Our AI systems, while sophisticated, may occasionally produce inaccurate, incomplete, or biased recommendations. We encourage users to exercise critical thinking and conduct their own research when evaluating our suggestions.

Third-Party Content: We are not responsible for the accuracy, availability, or content of books, articles, or other materials recommended through our Service. Users are responsible for evaluating and selecting appropriate learning materials.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York County, New York.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York, and judgment on the arbitral award may be entered in any court having jurisdiction thereof.

Class Action Waiver: You agree that any arbitration or legal proceeding shall be limited to the dispute between you and WizeLibrary individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

  • Update the "Effective Date" at the top of these Terms
  • Notify you via email or through a prominent notice on our website
  • Provide at least thirty (30) days' notice for material changes

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

11. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and WizeLibrary regarding the Service and supersede all prior agreements and understandings.

Severability: If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

Assignment: You may not assign or transfer your rights under these Terms without our written consent. We may assign these Terms without restriction.

Survival: Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will continue to apply after these Terms end.
